4. Payment Terms

4.1 General Payment Terms

  • Payments for services are due upon receipt of the invoice unless otherwise specified in the service agreement.
  • All payments should be made in the currency specified in the invoice.

4.2 Wise Payment Terms

4.2.1 Payment Processing

Role of Wise: Wise acts as a payment facilitator, providing payment processing and acquiring services. This enables you to offer card payments to buyers for your goods and services.

Payment Gateway Services: Wise provides a secure gateway to accept online card-not-present payments from buyers. Transactions are processed through a third-party merchant acquirer.

4.2.2 Customer Responsibilities

  • Accurate Information: Clients must provide accurate and complete information required for payment processing and must inform Wise of any changes to their details promptly.
  • Compliance: Clients must comply with Wise’s Acceptable Use Policy, Payment Scheme Rules, and all applicable laws, including anti-money laundering and data protection laws.
  • Security Measures: Clients must implement necessary security measures to safeguard their payment processing system and buyer information. Wise offers technical support and guidance to assist clients in meeting security requirements.

4.2.3 Fees and Deductions

  • Customer Service Fees: Wise charges fees for its services as outlined on Wise’s Pricing Page. These fees are subject to change with appropriate notice.
  • Deductions: Clients are responsible for all applicable deductions, including chargebacks, assessments, refunds, and amounts needed to fund the Reserve Account.

4.2.4 Chargebacks and Refunds

  • Chargebacks: Clients are liable for any chargebacks processed by Wise and must handle disputes according to Wise’s procedures. Wise reserves the right to debit the Reserve Account, Additional Collateral, or any settled amount to recover chargeback costs.
  • Refunds:Clients must disclose their refund, return, and cancellation policies to buyers and ensure compliance with applicable laws. Wise reserves the right to refuse or suspend refund processing if necessary.

4.2.5 Settlements and Payments

  • Settlement Timing: Funds from transactions are made available based on the settlement schedule provided by Wise. Wise may withhold payments if transactions are suspected to be fraudulent or violate legal requirements.
  • Payment Currency: All payments are processed in the currency agreed upon in the service agreement. Wise is not responsible for any variations in exchange rates.

4.2.6 Data Protection

  • Data Controller Role: Both Wise and the client act as independent data controllers for the processing of personal data. Clients must comply with applicable data protection laws and ensure data accuracy.
  • Breach Notification: Clients must promptly report any data breaches or unauthorized access involving Wise’s payment processing services.

4.2.7 Compliance and Audit

  • Audit Rights: Wise reserves the right to audit clients’ compliance with these terms and applicable laws. Clients must cooperate with audits and provide necessary documentation.
  • Taxes

    • All fees and charges for our services are exclusive of VAT, sales tax, or any other applicable taxes unless otherwise stated.
    • Clients are responsible for determining and paying any taxes, duties, or levies that apply to the transactions under these Terms in their respective jurisdictions.
    • Ideators Digital is not responsible for determining whether taxes apply to your transactions or for collecting, reporting, or remitting any taxes arising from any transaction.
    • If required by law, we may collect taxes on services rendered and remit them to the appropriate tax authorities. In such cases, taxes will be clearly outlined in the invoice.
    • Clients agree to indemnify and hold Ideators Digital harmless from any claims or damages arising from their tax obligations, including but not limited to incorrect tax filings or underpayment of taxes.

    Service Delivery

    • Ideators Digital will use reasonable efforts to deliver services according to the agreed timeline. However, delivery times are estimates and not guaranteed.
    • We are not liable for any delays in service delivery due to unforeseen circumstances or force majeure events.

    Client Responsibilities

    • Clients must provide accurate and complete information necessary for the provision of services.
    • Clients must ensure that any materials or data provided do not infringe on third-party rights or violate applicable laws.

    Confidentiality

    • Both parties agree to keep all confidential information disclosed during the course of the agreement confidential and not use it for any purpose other than fulfilling their obligations under this agreement.

    9. Limitation of Liability

    • Ideators Digital will not be liable for any indirect, incidental, or consequential damages arising out of or related to the use or inability to use our services.
    • Our total liability for any claim arising out of or related to these Terms will not exceed the amount paid by the client to us in the twelve months preceding the claim.

    10. Termination

    • Either party may terminate the agreement with written notice if the other party breaches any material term of the agreement and fails to cure the breach within 30 days of receiving notice.
    • Upon termination, clients must pay for all services rendered up to the termination date.

    11. Governing Law

    These Terms are governed by the laws of the USA and UK, depending on the location of the service agreement. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts in the respective country.

    12. Dispute Resolution

    Any disputes arising from these Terms will be resolved through negotiation in good faith. If unresolved, disputes will be subject to arbitration under the rules of the respective jurisdiction.

    13. Privacy and Data Protection

    We comply with all applicable data protection laws, including GDPR and CCPA, regarding the collection, use, and storage of personal data.

    14. International Business Considerations

    Clients from international jurisdictions are responsible for complying with local laws, including import/export regulations.

    15. Amendments

    Ideators Digital reserves the right to modify or replace these Terms at any time. Changes will be posted on this page, and it is the client's responsibility to review these Terms periodically.
